Affiliate Terms and Conditions

  1. Incorporation
    1. This agreement commences once Tyent Australasia notifies the Affiliate that it has accepted the Affiliates application to participate in the Tyent Australasia Affiliate program. Tyent Australasia reserves the right to accept or refuse applications to join the Tyent Australasia Affiliate program.
    2. By participating in this program, the Affiliate represents to Tyent Australasia that they agree to be bound by these Terms and Conditions, the policies and procedures supplied to the Affiliate as amended from time to time and the terms within each Affiliate Agreement for each level of membership which are supplied to the Affiliate upon reaching a particular level in the Tyent Australasia Affiliate program.
    3. These Terms and Conditions constitute a legally binding agreement between the Affiliate and Tyent Australasia during the Affiliates participation in the Tyent Australasia Affiliate Program.
    4. No modification or variation of these Terms and Conditions shall bind Tyent Australasia unless expressly agreed to in writing by an authorised employee of Tyent Australasia.
    5. By clicking on the "I have read, understood and agree to comply with the terms and conditions of Tyent Australasia’s Affiliate program" link below, you are acknowledging that you have read, understood and agree to be bound to these terms and conditions.
  2. Responsibilities of the Affiliate
    1. The Affiliate must present themselves as an independent contractor of Tyent Australasia however must distribute under the name, logo and trademarks of Tyent Australasia.
    2. While engaged as an Affiliate of Tyent Australasia, the Affiliate must not represent or be an affiliate of a competitor's business without the prior written consent of Tyent Australasia.
    3. The Affiliate must not:
      1. make false or misleading representations about Tyent Australasia, its product, services or business;
      2. be involved in coercive or scare tactic marketing; or
      3. make unfounded claims about the Goods and in particular make claims that the Goods prevent, cure or alleviate disease, defect or injury.
  3. Banners & Hyperlinks
    1. Tyent Australasia will make available website banners, quote panels, technical support details and other web based resources to support your activities as an Affiliate. The Affiliate may use the banners and resources only for the purpose of providing a hyperlink on his or her website that links to the Tyent Australasia Website. The Affiliate may only use the Banners and Resources in a manner approved by Tyent
    2. Australasia and must not alter or tamper with the Banners and Resources in any way.
    3. Tyent Australasia own all Intellectual Property in the Banners and Resources, the Tyent Australasia Website and the Tyent Australasia Trade Marks. Tyent Australasia grant the Affiliate a non-exclusive and non-transferable revocable licence for the duration of this agreement to use the Banners and Resources, the Tyent Australasia Website and the Tyent Australasia Trade Marks for the purpose of providing a hyperlink on the Affiliates website that links to the Tyent Australasia Website.
    4. The Affiliate is responsible for the implementation of all URLs that are linked to the Tyent Australasia Website. Once the Affiliates application is approved, Tyent Australasia will send the Affiliate an email confirmation with Banner, text links and tracking URL to monitor website referral and sales. Tyent Australasia will be unable to track sales if any changes are made to the tracking URL. The Affiliate hereby agrees that when and if the URL used in tracking sales is modified, erased, corrupted for whatever reason Tyent Australasia will not be able to track sales and will not be liable for payment of any commissions.
  4. Commission
    1. Tyent Australasia will pay the Affiliate commission calculated as a percentage of the sale price less GST of Goods sold to a Customer arising directly from the Customer being referred from the Affiliate website to the Tyent Australasia Website. Commission is exclusive of goods and services tax unless the Affiliate is registered for GST and provides a valid Tax Invoice as defined in s 29.70 of A New Tax System (Goods and Services Tax) Act 1999.
    2. If Goods are returned by the Customer, Tyent Australasia are entitled to a refund of any commission already paid to the Affiliate for those Goods and Tyent Australasia are entitled to offset any such amount from any further payments due to the Affiliate.
    3. Tyent Australasia may vary how it calculates commission by giving the Affiliate not less than 30 days notice in writing. Tyent Australasia may increase or reduce the percentage rate of commission or change the methodology for calculating remuneration. If the Affiliate does not agree to this change, they may terminate this agreement by giving Tyent Australasia notice in writing effective immediately.
  5. Payment
    1. Tyent Australasia will pay the Affiliate Commission according to the corresponding level the affiliate is located in the Affiliate program and once the Affiliate reaches the payment release level. The minimum payment release level is $100.00 Australian dollars.  
    2. Tyent Australasia will adjust any Commission paid or payable with any refunds or variations of orders. Tyent Australasia will deduct (or pay) the adjustment amount in the Affiliates next Commission payment.
    3. Tyent Australasia’s calculation of your Commission and your entitlement to payment depends on the hyperlink to the Tyent Australasia Website being operational for it to collect the necessary data. If the hyperlink does not enable us to collect the necessary data you will not be entitled to any commission on any sales.
  6. Delivery & Risk
    1. Tyent Australasia gives or accepts delivery dates in good faith, but does not guarantee those dates.  Tyent Australasia shall not be liable to the Affiliate for any loss or damage whatsoever should Tyent Australasia be delayed or prevented from delivering Goods. In the event of any such delay in delivery or supply, the due date for delivery shall be deferred for a period equal to the time lost by reason of the intervening cause or circumstance.
  7. Limitation of Liability
    1. To the extent permitted by law:
      1. Tyent Australasia will not be liable for any breach of statutory obligation or implied condition or warranty in respect of Goods supplied to the Affiliate;
      2. Tyent Australasia shall under no circumstance be liable in any way whatsoever for any form of loss, damage to property or expense, including without limitation any indirect or consequential losses, loss of profits or use, any rectification costs or any third person claim in connection with the Goods caused by or in any way relating to without limitation, water, leakages, flooding or hydraulic changes such as water hammer or pressure variations; and
      3. Should any law render a provision herein void or ineffective, the Affiliate agrees that the liability of Tyent Australasia is limited to the repair or replacement of those Goods supplied, the supply of goods equivalent to those supplied, or the payment of the cost of replacing or repairing the Goods at the option of Tyent Australasia;
  8. Indemnity
    1. Tyent Australasia will not be liable for and the Affiliate agrees to release Tyent Australasia from any indirect loss or damage (including without limitation any loss of revenue, profits or data) arising under or in connection with this Agreement or the Affiliate program.
    2. The Affiliate agrees to indemnify, defend and hold harmless Tyent Australasia and its employees, representatives, agents and corporate Affiliates (each, an "Indemnified Party"), against any and all claims, suits, actions, or other proceedings brought against the Indemnified Party based on or arising from any claim:
      1. that the use of any material provided by the Affiliate infringes on any copyright, patent, trademark, trade secret or any other intellectual property or other right of any third party;
      2. resulting from your breach of this Agreement;
      3. resulting from the Affiliates promotion or erroneous claims that the Goods cure or treat any diseases;
      4. related to the Affiliate’s website or Programs, including, without limitation, content therein not attributable to Tyent Australasia.
    3. The Affiliate will pay any and all costs, damages, and expenses, including, but not limited to, legal fees and costs awarded against or otherwise incurred by the Indemnified Party in connection with or arising from any such claim, suit, action, or proceeding.
  9. Confidential Information
    1. In these terms and conditions "Confidential information" means information of or relating to the business, systems, operations and customers which includes without limitation trade secrets, drawings, know-how, techniques, business and marketing plans, arrangements and agreements with third parties, Customer information,  Customer lists, formulas, ideas, concepts not reduced to material form, designs, plans and models.
    2. The Affiliate covenants to Tyent Australasia that he/she will not disclose the Confidential information or permit it to be disclosed to any person or corporation whatsoever except with the written consent of Tyent Australasia.
    3. The obligations of the Affiliate under this agreement not to disclose Confidential information survives termination of this Agreement by either party.
  10. Termination
    1. Either party may terminate this agreement at any time by giving fourteen days notice in writing.
    2. Tyent Australasia may terminate this agreement immediately if the Affiliates website contains content or materials that causes or is likely to cause damage to the reputation of Tyent Australasia or the reputation of our partners, clients or our customers. We may immediately terminate this agreement if your Website includes content that is false or misleading, obscene, promotes violence discrimination or illegal activities or infringes the intellectual property rights of any third party.
    3. On termination of this agreement the Affiliate is no longer authorised to act as our Affiliate and must immediately remove all Banners and hyperlinks from your website and cease your activities as an Affiliate.
    4. Tyent Australasia will pay all amounts owing to the Affiliate before the termination date but will not be liable to pay any remuneration for Tyent Australasia Goods purchased by Customers after the termination date.
  11. Warranty
    1. Tyent Australasia disclaim any express or implied warranty, representation or guarantee as to the effectiveness or profitability of the Affiliate program. Tyent Australasia are not liable for the consequences of any interruptions or error in its website.
    2. Tyent Australasia disclaim any express or implied warranty, representation or guarantee that the operation of the Tyent Australasia website will be uninterrupted or error-free. Tyent Australasia are not liable for the consequences of any interruptions or error in the Affiliate Program.
    3. Tyent Australasia shall have no obligations to repair or replace parts for Goods which have a normal life under five (5) years. Tyent Australasia will not extend this warranty to Goods which have been used for commercial purposes.
    4. To be eligible for the 5 year warranty, Customers are required to purchase from Tyent Australasia and replace the particular water filter for their water ioniser unit every 12 months. The Customer will be required to furnish proof of purchase indicating the date and the serial number of the water ioniser unit.
    5. Tyent Australasia denies liability and responsibility for Goods or subsequent damage occasioned by, or from the following events:
      1. Damage caused by water, fire, lightning, act of god, riot or war;
      2. Where damage has occurred as a result of the gross negligence of the Customer; and
      3. Degradation of Goods due to wear and tear in normal use.
    6. Should services be sought from Tyent Australasia to remedy or replace any Goods due to the above events, then such services will be charged at Tyent Australasia’s prevailing casual consulting rates at the time.
  12. Force Majeure

Neither the Affiliate nor Tyent Australasia are liable to the other nor deemed to be in breach of this agreement if there is a failure to perform, or delay in performing, this agreement if the failure or delay is beyond that party's reasonable control. Without prejudice to the generality of the foregoing, Tyent Australasia are not liable to the Affiliate if the Tyent Australasia Website is down for any reason.

  1. Severability

If any provision of these Terms and Conditions is or becomes invalid and not enforceable in accordance with its terms, all other provisions which are self-sustaining and capable of separate enforcement without regard to the invalid provisions shall be and continue to be valid and enforceable in accordance with their terms.

  1. Definitions
    1. In these conditions:

“Affiliate” means a Tyent Australasia Reseller, independent distributor or referrer;
“Agreement” means this trading term agreement;
“Commission” means the remuneration Tyent Australasia pays the Affiliate when a Customer has purchased Goods through the Tyent Australasia Website (adjusted for refunds and order variation);
“Customer” means a person who purchases a Tyent Australasia product from the Tyent Australasia Website as a result of having clicked on the hyperlink from your website to the Tyent Australasia Website.;
“Tyent Australasia” means Tyent Australasia Pty Ltd ACN 148 976 050;
“Goods” means any water ionizer, portable water alkaliser, water bottles, water filters and any other product sold from time to time by Tyent Australasia;
“Hyperlink” means an internet link between the Affiliates website and the Tyent Australasia Website that is able to be tracked by Tyent Australasia;
“Intellectual Property” means patents, trademarks, service marks, registered designs, unregistered design marks, trade or business names, copyright, data and database rights, any rights in any invention, discovery or process, confidential information or know-how and documentation;
 “Related Bodies Corporate” has the same meaning as in the Corporations Act 2001;
“Services” means installation, repair or maintenance services (if any) in connection with the Goods; and
“You” means the Affiliate wishing to participle in the Tyent Australasia Affiliate program.
